1. Introduction and Definitions

1.1. Agreement to Terms

By accessing or using LocalPanda (the "Service"), you agree to be bound by these Terms and Conditions (the "Terms"). If you disagree with any part of the Terms, you may not access the Service.

2. Account Registration and User Obligations

2.1. Account Creation

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2. Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2.3. User Obligations

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

3. License and Service Usage

3.1. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes.

3.2. Restrictions

  • Sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Service in any way.
  • Modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Service.

3.3. Service Availability

We will use reasonable efforts to make the Service available 24/7, except for planned maintenance. However, you acknowledge that the Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

4. Payment Terms

4.1. Fees

LocalPanda offers various subscription plans. The fees for each plan are listed on our website at https://localpanda.ai. All fees are non-refundable except as expressly provided in these Terms.

4.2. Billing

You will be billed in advance on a recurring and periodic basis (monthly or annually, depending on the subscription plan you select). Billing cycles are set on a calendar basis.

4.3. Late Payments

If your payment is more than 5 days late, we may suspend your access to the Service until the amount due is paid in full.

4.4. Changes to Fees

We reserve the right to change our fees at any time upon 30 days' notice. Such notice may be provided by posting the changes to the LocalPanda website or via email to the email address associated with your account.

5. Intellectual Property Rights

5.1. Ownership

Casa Labs owns and retains all right, title, and interest in and to the Service, including all related intellectual property rights. The Service is protected by copyright, trademark, and other laws.

5.2. Feedback

Any feedback, comments, ideas, improvements or suggestions provided by you to us with respect to the Service shall remain the sole and exclusive property of Casa Labs. We shall be free to use, copy, modify, publish, or redistribute such feedback for any purpose without credit or compensation to you.

5.3. Your Content

You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You grant Casa Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute such Content in connection with the operation of the Service.

6. Data Privacy and Security

6.1. Privacy Policy

Your use of LocalPanda is subject to our Privacy Policy. By using the Service, you agree to the collection and use of information in accordance with this policy.

6.2. Data Security

We implement reasonable security measures to protect your personal information from unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the Internet or method of electronic storage is 100% secure, and we cannot guarantee absolute security.

6.3. Data Processing

In providing the Service, Casa Labs acts as a data processor on behalf of you, the data controller. You are responsible for ensuring that you have the right to collect, use, and share any data that you upload to or process through the Service.

7. Termination and Suspension of Service

7.1. Term

These Terms will remain in full force and effect while you use the Service.

7.2. Termination by You

You may terminate your account at any time by contacting us at founder@localpanda.ai or through the account settings in the Service.

7.3. Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

7.4. Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

8. Limitation of Liability

8.1. Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CASA LABS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CASA LABS, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

9. Disclaimers and Warranties

9.1. No Warranties

CASA LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. CASA LABS DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

9.2. Third-Party Services

The Service may integrate with or enable access to third-party services. You acknowledge that Casa Labs is not responsible for such third-party services, and your use of them is governed by their respective terms of service and privacy policies.

9.3. User Content

Casa Labs does not control and does not take responsibility for any Content that you or other users may upload, post, or otherwise make available through the Service. You are solely responsible for your Content and the consequences of posting or publishing it.

10. Governing Law and Dispute Resolution

10.1. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Casa Labs is registered, without regard to its conflict of law provisions.

10.2. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If such negotiations fail, the dispute shall be finally settled by binding arbitration in accordance with the rules of a mutually agreed upon arbitration body.

10.3. Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Modifications to Terms and Services

11.1. Changes to Terms

Casa Labs reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

11.2. Changes to Service

Casa Labs reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

11.3. Continued Use

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
